1. Interpretation and Definitions

1.1 Interpretation Words with capitalized initials have defined meanings as set forth below. These definitions apply whether the words appear in singular or plural forms.

1.2 Definitions

  • Account: A unique profile created for access and use of SceneAccess services.
  • Affiliate: Any entity that directly or indirectly controls, is controlled by, or is under common control with SceneAccess.
  • Application (App): The software interface (web or mobile) provided by SceneAccess for accessing the Platform’s features and services.
  • Booking Request: A reservation or order submitted by a Creative to book a Location, pending Host confirmation.
  • Company/Operator: SceneAccess Co., Ltd., 700/16 Regent Srinakarin Tower, Srinakarin Road, Suan Luang, Bangkok 10250, Thailand. Taxpayer ID: 0105568098050.
  • Content: Any media or text uploaded by users to the Service.
  • Creative: An individual or entity booking a Location via SceneAccess for photography, videography, or related production purposes.
  • Device: Any tool used to access SceneAccess services (e.g., phone, laptop).
  • Feedback: Suggestions or ideas shared by users regarding the Service.
  • Host: A user who offers Locations or Add-on Services for booking through SceneAccess.
  • Location: Any physical space or venue made available for booking on the SceneAccess Platform.
  • Location Fee: The total rental amount charged by the Host for the use of the Location.
  • Location Scouting: A permitted site visit that occurs after a booking is confirmed, allowing the Creative and production team to evaluate the Location’s layout, lighting, access, and logistics in preparation for the Shoot.
  • Order: A confirmed booking made through SceneAccess.
  • Payment Fee: Non-refundable payment processing fees (includes MDR + VAT) charged by the Third-party PSP.
  • Payout: The amount released to the Host after deduction of the Service Fee, Payment Processing Fee, and any other applicable deductions.
  • Platform: The online digital marketplace operated by SceneAccess Co., Ltd., which enables Hosts and Creatives to connect, communicate, and book Locations and related services.
  • Refund: The partial or full return of a Location Fee to the Creative in accordance with SceneAccess’s Refund Policy.
  • Service: The SceneAccess Platform, Website, and related offerings.
  • Service Fee: The commission charged by SceneAccess per booking.
  • Shoot: The scheduled videography and/or photography taking place at a booked Location as confirmed through the Platform.
  • Terms: This Terms & Conditions agreement.
  • Third-party PSP: Licensed payment service provider (e.g., Omise).
  • Website: https://www.sceneaccess.io
  • You/User: Any individual or entity accessing or using SceneAccess.
  • [NEW] Consent Manager: The third-party open-source tool (Silktide) used by the Platform to manage user cookie preferences and PDPA compliance.

3. Acceptance of Terms

These Terms govern the use of the Service and form a binding agreement between You and SceneAccess. By accessing or using the Service, You agree to be bound by these Terms. If You disagree with any part of these Terms, You may not access the Service. You represent that you are of legal age to enter into contracts under Thai law or the law of your jurisdiction, whichever is higher. Your use of SceneAccess is also governed by our Privacy Policy.

4. Role of SceneAccess

SceneAccess is a digital location booking intermediary, not a rental service provider, fixer, or production company. We connect Hosts and Creatives. SceneAccess does not:

  • Provide production services or fixers.
  • Hold user funds directly.
  • Issue tax invoices for Hosts (Hosts are responsible for issuing their own rental receipts or tax invoices).
  • File permits on behalf of users.

5. Payments, Fees & Commission

5.1 Commission Structure

  • A 10% Service Fee (VAT 7% inclusive) is charged to the Creative on each booking.
  • A 10% Service Fee (VAT 7% inclusive) is withheld from the Host’s payout.

5.2 Processing Fees

  • Payments are processed via licensed Third-party PSPs (e.g., Omise).
  • SceneAccess acts as the Master Merchant under the Omise Master Merchant Service Agreement, while every Host is onboarded as a Sub-merchant after completing KYC verification.
  • The Merchant Discount Rate (MDR) varies by payment channel as specified in the Omise Schedule.
  • Each MDR is subject to 7% VAT, and all processing fees are non-refundable and charged to the user.

5.3 Fund Flow

  • SceneAccess is not the merchant of record for payments.
  • Each Host is registered as a verified Sub-merchant under Omise.
  • All Service Fees charged by SceneAccess are inclusive of 7% VAT.
  • Funds are held by SceneAccess’s Third-party PSP (Omise) until 72 hours after the completion of the shoot.

5.4 Why Payments Must Stay on the Platform SceneAccess requires all payments to be processed through its Platform to maintain security, accountability, and quality assurance.

5.5 Consequences for Violating the Policy To ensure safety and transparency, all communications and payments must be made exclusively through the SceneAccess Platform. Discovery of off-platform activity can result in immediate and permanent account suspension or termination.

6. Booking, Refund & Rescheduling Policy

6.1 Booking Payment Options

  • Pay Now with Credit/Debit Cards: Payment is charged immediately once the Host confirms the booking request.
  • Pay Later with Thai QR PromptPay or Mobile Banking: The Creative has a 48-hour payment window.

6.2 Free Cancellation Cancellation is considered free only if made within 24 hours after Host confirmation, and the shoot date is more than 7 days away.

6.3 Refunds

  • 30 days or more before the shoot: 100% refund of the location fee, minus Service and Payment Fees.
  • 7 to 29 days before the shoot: 50% refund of the location fee, minus Service and Payment Fees.
  • Less than 7 days before the shoot: No refund will be issued.

6.4 Rescheduling Rescheduling is permitted at any time, subject to the Host’s permission and availability, and must be mutually agreed upon via the Platform.

6.5 Location Scouting SceneAccess may allow location scouting visits only after a booking has been confirmed. No filming, photography, or commercial activities may take place during a scouting visit.

7. User Accounts

7.1 Account Creation You must provide accurate, complete, and up-to-date information.

7.2 Identity & KYC SceneAccess may require identity verification and compliance with AML/KYC protocols.

7.3 Passwords You are solely responsible for maintaining the confidentiality of your account credentials.

7.4 Account Termination SceneAccess reserves the right to suspend or terminate your account for any reason, including violation of these Terms.

7.5 [NEW] Data Subject Rights In accordance with Thailand's PDPA, users maintain the right to access, correct, delete, or object to the processing of their data as outlined in our Privacy Policy.

8. Content and Intellectual Property

8.1 User Content You retain ownership of your Content but grant SceneAccess a worldwide license to use it for operating and promoting the Service.

8.2 Prohibited Content You may not post illegal, offensive, or harmful material.

8.3 Copyright & Takedowns SceneAccess respects intellectual property rights and complies with applicable copyright laws.

9. Filming Permits & Compliance (Thailand)

9.1 Foreign Filming Foreign users must obtain a valid filming permit through a Thailand Film Office (TFO)-accredited fixer. SceneAccess does not facilitate this process.

9.2 Insurance & Liability Hosts are encouraged to obtain property insurance. Creatives are responsible for any property damage or injury caused by them or their crew.

9.3 Off-Platform Deposit Payments Security deposits are handled off-platform and directly between the Creative and the Host. SceneAccess does not collect, hold, or refund any deposits.

10. Dispute Resolution

10.1 Dispute Handling Disputes should be reported to SceneAccess via the contact page.

10.2 Platform Authority SceneAccess may, at its discretion, issue refunds or adjust payouts to Hosts to enforce these Terms.

11. Disclaimer & Limitation of Liability

The Service is provided on an "AS IS" basis. To the maximum extent permitted by Thai law, SceneAccess shall not be liable for any indirect or incidental damages resulting from your use of the Service.

12. Modifications to Terms

We reserve the right to modify these Terms at any time. If a revision is material, we will provide at least 30 days' notice. Your continued use of SceneAccess after such notice confirms your agreement to the updated Terms.

[NEW] 12.1 Language and Localization The Platform utilizes automated language detection to provide services in English and Thai. In the event of a conflict between translated versions of these Terms, the English version shall prevail unless otherwise required by Thai law.

13. Governing Law

These Terms shall be governed by the laws of the Kingdom of Thailand. All legal matters shall be handled under Thai jurisdiction.
